Terms of Service

These Terms of Service are a binding agreement between you and HaulHub. Please read them carefully — they include a mandatory arbitration provision and a class-action waiver (Section 15) that affect how disputes are resolved. By checking the agreement box and creating an account, posting a load, or placing a bid, you accept these terms.

1. Acceptance & electronic consent

By clicking "I agree" at sign-up, creating an account, or otherwise using HaulHub (the "Platform"), you agree to these Terms of Service and to our Privacy Policy, which is incorporated by reference. If you accept on behalf of a company, you represent that you are authorized to bind that company, and "you" means both you and that company. You consent to transact electronically and to receive all agreements, notices, disclosures, and records from us electronically; your click and the record we keep of it (date, version, and request metadata) constitute your signature. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years old and able to form a binding contract. Carriers must be a legally formed business holding valid, active motor-carrier operating authority and all insurance required by law. You may not use the Platform if you are barred under applicable law or have previously been removed from the Platform.

3. What HaulHub is — and is not

HaulHub operates an online marketplace and software that connect shippers who need heavy commercial vehicles transported with motor carriers who provide that transport. HaulHub provides listing, matching, carrier vetting against public FMCSA data, document handling, communications, and payment facilitation. HaulHub is not a motor carrier, freight broker, freight forwarder, dispatcher, warehouseman, or insurer, is not a party to any transportation arrangement between a shipper and a carrier, and never takes possession or custody of any vehicle or cargo. HaulHub does not guarantee that any load will be bid on, awarded, picked up, transported, or delivered.

4. Accounts & security

You must provide accurate, current information and keep it updated. You are responsible for all activity under your account and for safeguarding access to the email you use to sign in. Notify us immediately of any unauthorized use. We may refuse, suspend, or terminate accounts for inaccurate information, failed or revoked vetting, suspected fraud, non-payment, or any violation of these terms.

5. Carrier vetting (informational only)

HaulHub surfaces information from public federal sources (FMCSA SAFER, CSA, and Licensing & Insurance) and applies an automated rating. This information is provided as-is, may be incomplete, delayed, or inaccurate, and is not an endorsement, certification, or guarantee of any carrier's authority, insurance, safety, or performance. Each shipper remains solely responsible for its own diligence before awarding a load.

6. Loads, bids, and awards

A posted load is an invitation for bids, not an offer. A bid is an offer by the carrier. When a shipper awards a bid (including via Book-It-Now or auto-accept), a binding transportation arrangement is formed directly between that shipper and that carrier; HaulHub is not a party to it. The carrier is solely responsible for performing the transport lawfully, safely, with proper authority and insurance, and as described. The shipper is solely responsible for an accurate, lawful, ready-to-move load and for its right to ship the vehicle.

7. Fees, payments & escrow

HaulHub charges a platform fee on awarded loads, disclosed on the quote before award. Funds for an awarded load are held by our payment provider (Stripe) and released to the carrier after delivery is confirmed (by the shipper or by lapse of the inspection window without a dispute), subject to any hold for an open claim. You authorize HaulHub and Stripe to move funds as described. Carriers must complete payout onboarding before being paid. Platform fees already earned are non-refundable except as required by law. You are responsible for your own taxes.

No circumvention.If HaulHub introduces a shipper and a carrier through the Platform, you agree not to arrange, complete, or invoice that load — or solicit the other party to do so — off-Platform to avoid the platform fee, for twelve (12) months after the introduction. Because actual damages from circumvention are hard to calculate, you agree that liquidated damages equal to the platform fee that would have applied, plus collection costs and reasonable attorneys' fees, is a reasonable estimate and not a penalty.

8. Documents & proof of delivery

You are responsible for the accuracy of every document you upload (certificates of insurance, condition photos, proof of delivery, bills of lading, clean-out and hazmat papers). Bills of lading and other documents you e-sign on the Platform are legally binding. Uploading falsified or altered documents is grounds for immediate termination, forfeiture of disputed funds, and may be unlawful. Payment release is conditioned on genuine, accepted proof of delivery.

9. Prohibited conduct

  • Impersonating another carrier, shipper, or person, or misrepresenting your authority or insurance.
  • Circumventing fees as described in Section 7.
  • Uploading false, infringing, or unlawful content, or falsifying documents.
  • Interfering with, scraping, reverse-engineering, or attempting to breach the Platform's security.
  • Transporting cargo you are not lawfully authorized to carry, including hazmat without authorization.
  • Using the Platform for any unlawful, fraudulent, or abusive purpose.

10. Insurance, cargo loss & claims

Responsibility for loss of or damage to a vehicle or cargo lies between the shipper, the carrier, and their respective insurers under the transportation arrangement and applicable law (including the Carmack Amendment where it applies). HaulHub is not an insurer and does not assume cargo liability. HaulHub's claims tools and dispute resolution are an administrative convenience to help the parties document and resolve disputes; any determination HaulHub makes about releasing or refunding held funds is a payment-administration decision, not an adjudication of legal liability, and does not limit either party's rights against the other.

11. Assumption of risk & release

You understand that transacting with third parties carries risk and that HaulHub does not control and is not responsible for the conduct of any shipper or carrier. To the fullest extent permitted by law, you release HaulHub and its officers, employees, and agents from any claims, demands, and damages arising out of or connected with any dispute between you and another user or any third party.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HAULHUB DOES NOT WARRANT THAT CARRIER OR SHIPPER DATA IS ACCURATE, THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY TRANSPORT WILL BE COMPLETED.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAULHUB WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR CARGO OR VEHICLE LOSS OR DAMAGE, EVEN IF ADVISED OF THE POSSIBILITY. HAULHUB'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS RELATING TO A LOAD OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (a) THE PLATFORM FEES HAULHUB ACTUALLY EARNED ON THE LOAD GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

You agree to defend, indemnify, and hold harmless HaulHub and its officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your loads, your transport services, your documents, your use of the Platform, or your breach of these terms or of any law or third-party right.

15. Binding arbitration & class-action waiver

Please read this section carefully — it affects your legal rights. You and HaulHub agree that any dispute, claim, or controversy arising out of or relating to these terms or the Platform will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. The Federal Arbitration Act governs this section.

Class-action waiver.You and HaulHub agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

30-day opt-out. You may opt out of this arbitration agreement by emailing support@haulhub.co with your name and account email within 30 days of first accepting these terms; opting out does not affect any other part of these terms.

16. Governing law & venue

These terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. To the extent any matter is not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Broward County, Florida.

17. Changes, termination & general

We may update these terms; material changes will be posted here with a new effective date and, where required, notified to you. Continued use after changes take effect is acceptance. You may stop using the Platform at any time; we may suspend or terminate access for violations. If any provision is found unenforceable, it will be limited or severed and the rest will remain in effect. These terms and the Privacy Policy are the entire agreement between you and HaulHub on this subject. You may not assign these terms; HaulHub may. Our failure to enforce a provision is not a waiver. We are not liable for delays or failures caused by events beyond our reasonable control. Notices to you may be sent to your account email.

18. SMS / text-message program

Program. HaulHub offers an SMS notification program that sends text-message alerts and notifications to users who opt in — including alerts when new equipment or inventory matching your criteria is listed for sale or auction, and updates relating to your account and loads.

Consent & opt-in. You opt in by providing your mobile number and agreeing to receive texts (for example, at sign-up or by request). Consent to receive text messages is not a condition of using the Platform.

Message frequency. Message frequency varies with marketplace and account activity; you may receive several messages per day on active days and none on others.

Message & data rates. Message and data rates may apply, depending on your wireless carrier and plan.

Opt-out & help. Reply STOP to any message to cancel; we will send a confirmation and then stop sending messages. Reply HELP for help, or contact support@haulhub.co. Wireless carriers are not liable for delayed or undelivered messages.
